Joining a team of 3 lawyers (holding Senior Legal Counsel, Legal Counsel and Associate Legal Counsel roles, respectively) spread across Brisbane and Perth offices, this is a senior role with a "hands-on' focus as the Company mobilizes several large projects across its Australian business, whilst continuing its tendering activities in Australia and abroad.


Duties & Responsibilities include:

Projects and contracting:
  • Draft, negotiate, provide advice on and review strategic contracting documentation such as consortium arrangements, joint ventures (incorporated and unincorporated), teaming arrangements, pre-bid agreements and memoranda of understanding and other related documentation;
  • Draft, negotiate, provide advice on and review conditions of tender, interface agreements, tender submissions and related documentation;
  • Draft, negotiate, provide advice on and review head contracts, subcontracts including back to back subcontracts and other standard template precedents;
  • Draft, negotiate, provide advice on and review confidentiality and non-disclosure agreements;
  • Draft, negotiate, provide advice on and review parent company guarantees, bank guarantees, performance bonds etc;
  • Participate in contract and subcontract negotiations as required;

Corporate
  • Participate in corporate due diligence initiatives;
  • Draft, negotiate, provide advice on and review corporate finance and facility management agreements, corporate bonds, security documentation, bank facilities and forex transactions; 

Intellectual property and Information technology
  • Draft, negotiate, provide advice on and review Intellectual Property licences and assignment agreements, software and technology development agreements, service and maintenance agreements, technology transfer agreements, training agreements, technology research and development agreements,
  • Draft, negotiate, provide advice on and review non-disclosure (confidentiality) agreements, escrow agreements, copyright statements, disclaimers, warranty statements etc.

General Commercial
  • Draft, negotiate, provide advice on and review supply agreements, service agreements, agreements for internal procurements and general commercial agreements;
  • Draft, negotiate, provide advice on and review deeds of novation, amendment agreements, settlement agreements, releases etc.;
  • Draft, negotiate, provide advice on and review property leases, assignments, transfers and other conveyancing transactions.
  • Provide compliance advice with respect to the Safety Acts and Regulations, NGER Act, OH&S Legislation, Modern Slavery Act and other similar legislation applicable to the business operations of the Company.

 

Minimum Skills & Experience required:
  • You must be admitted as a lawyer to practise in Australia.
  • Appropriately qualified with relevant tertiary qualifications (law degree) with 8+ years as a lawyer with professional experience in an in-house role.
  • Possess strong organisational skills, prioritisation ability and commercial acumen.
  • Demonstrated negotiation and influencing skills, including confident interaction with senior stakeholders.
  • Proven ability to build and foster positive relationships and networks.
  • Experience in major projects, software and technology background, and company secretarial works received favorably.
